Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ReplyHawk platform, websites, and APIs ("Service") provided by ReplyHawk, Inc. ("ReplyHawk", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
ReplyHawk is a software tool that helps home-service professionals ("Pros") respond to and qualify customer leads received from third-party platforms such as Yelp, Thumbtack, and Google Local Services Ads, as well as from the Pro's own intake channels. The Service may draft replies using AI, send messages, and place outbound voice calls only when the Pro has authorized those actions.
2. Eligibility and account
You must be at least 18 years old and authorized to bind your business. You are responsible for the accuracy of information you provide and for activity under your account. Keep your credentials confidential.
3. Connected platforms
The Service relies on Pros granting ReplyHawk access to third-party platforms via OAuth or platform-supported delegation. You represent that you are authorized to grant such access. You agree to comply with the terms of each connected platform. ReplyHawk will operate strictly within the limits of those platforms' policies.
4. Acceptable use
You agree not to:
- Use the Service to send unsolicited communications, marketing broadcasts, or any traffic prohibited by the connected platform or by applicable law (including TCPA, CAN-SPAM, GDPR).
- Aggregate or scrape data from connected platforms beyond what is needed to serve your own pro account.
- Attempt to identify or contact other Pros' customers, or use the Service to harass anyone.
- Misrepresent your identity, your business, or the AI nature of automated replies when the recipient has asked whether they are speaking with a human.
- Reverse-engineer, decompile, or attempt to extract source code of the Service.
- Use the Service to violate any law or third-party right.
We may suspend or terminate accounts that violate this section.
5. Customer interactions
You are the controller of leads and customer conversations on the Service. You are responsible for the content sent on your behalf, including replies drafted by AI and outbound voice calls. We provide tools to review and approve content before it is sent; using auto-send is your choice and your responsibility.
6. Fees
Paid plans, if applicable, are billed in advance on the period you select. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before the change takes effect for your renewal.
7. Intellectual property
ReplyHawk retains all rights to the Service and our marks. You retain rights to your business data and customer data. By using the Service you grant us a limited license to host, process, and display that data solely to provide the Service.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the purposes of these Terms.
9. Disclaimers
The Service is provided "as is" and "as available". We disclaim, to the maximum extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific outcome (bookings, conversion rates, response time).
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenues. ReplyHawk's total liability arising out of or relating to these Terms will not exceed the amounts you paid us in the twelve months preceding the claim.
11. Indemnification
You will defend and indemnify ReplyHawk against third-party claims arising from your breach of these Terms, your content, or your violation of law or third-party rights.
12. Term and termination
These Terms remain in effect while you have an account. You may close your account at any time. We may suspend or terminate for cause, including violation of Section 4 or non-payment. Sections that by their nature should survive will survive termination.
13. Changes
We may update these Terms. Material changes will be announced via in-product notice or email at least 30 days before they take effect. Continued use after the effective date means you accept the changes.
14. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Exclusive jurisdiction lies with the state and federal courts in San Francisco County, California.
